Subscription Agreement

1.1 This agreement is between Coffee & Deals, the operator of coffeeanddeals.in ("Coffee & Deals", "we", "us"), and the person or business that creates an agency account ("the Agency", "you").

1.2 The person who signs up confirms they are at least 18 years old and are authorised to accept this agreement on behalf of the Agency. Every person the Agency later adds as a user ("Staff User") must follow this agreement, including the Acceptable Use rules in section 8.

1.3 By ticking "I agree", you accept this agreement. We keep a record of that acceptance (section 15).

2.1 Coffee & Deals provides an online real-estate CRM, an optional property website, and related tools (the "Service") on a subscription basis. You receive a right to use the Service; you do not buy the software.

2.2 Some features are optional paid add-ons — for example WhatsApp in the CRM, WhatsApp staff alerts, the AI assistant, your own domain and extra storage. Add-ons are priced separately.

2.3 We may improve, change or retire features from time to time. We will not remove a core feature you are paying for during a paid period without reasonable notice.

3.1 New agencies may receive a free trial (currently 15 days). A trial starts when we approve the account. We may decline or end any trial.

3.2 Your plan sets how many people may be active users at one time ("seats"). One login may not be shared by several people.

3.3 More seats can be requested at any time and are charged at the price of the larger plan.

4.1 Fees are as shown on our pricing page or as agreed with you in writing, and are exclusive of GST, which is added at the applicable rate.

4.2 Subscriptions are billed in advance for the period chosen (monthly, quarterly, yearly or as agreed) and renew for the same period unless cancelled before the renewal date.

4.3 If a payment is not received by its due date, we may send reminders and, after 7 days, suspend access until it is paid. Suspension does not delete your data (section 12).

4.4 Fees already paid are non-refundable, except where the law requires otherwise or we agree in writing. Launch and promotional prices apply for the period stated with the offer.

5.1 Each plan includes a storage allowance for uploaded files such as photos and PDFs:

5.2 Uploaded photos and PDFs are compressed automatically. When the allowance is full, new uploads pause until you delete files or buy extra storage. Existing files are never deleted because storage is full.

5.3 The Service is for running a real-estate business. Storing unrelated files, or using the Service in a way that places an unusual load on our systems, is not permitted.

6.1 You own your data. Everything you or your Staff Users put into the Service — leads, customers, listings, notes and files ("Agency Data") — belongs to the Agency.

6.2 You allow us to store and process Agency Data only to provide the Service to you, to keep it secure, to back it up, and to give you support when you ask for it.

6.3 We do not sell Agency Data, and we do not show one agency's data to another agency.

6.4 Under India's Digital Personal Data Protection Act, 2023, for the personal data of your customers and contacts, the Agency is the Data Fiduciary and Coffee & Deals acts as the Data Processor on its behalf. You are responsible for having a lawful basis, such as consent, to collect and use that data — including any phone lists you upload for calling.

6.5 We use reasonable technical and organisational measures to protect Agency Data, including encryption in transit, access controls that keep each agency's data separate, and regular backups.

7.1 We collect the details you give at sign-up (name, designation, date of birth, contact and business details) and the usage information needed to run, secure and bill the Service. We use them only for those purposes and to contact you about your account.

You and your Staff Users must not use the Service to:

• send spam, or call or message people in breach of TRAI / DND rules or without the consent the law requires;
• upload phone or contact lists that were obtained unlawfully, or that you do not have the right to use;
• publish false, misleading or illegal property listings, or listings you are not authorised to market;
• upload content that is unlawful, infringes someone else's rights, or contains malware;
• try to access another agency's data, test or break our security, or overload the Service;
• resell the Service or give access to anyone outside your agency without our written agreement.

We may remove content or suspend accounts that break these rules.

9.1 Some features connect to services we do not control — for example WhatsApp, SMS providers, email providers and map services.

9.2 The WhatsApp connection uses an unofficial gateway, not WhatsApp's official Business API. WhatsApp may limit, restrict or ban a number connected this way, particularly when it is used for bulk or unsolicited messages. You use this feature at your own risk, and we are not responsible for any restriction or ban of your number, or for messages that are not delivered.

9.3 Third-party services are subject to their own terms.

10.1 We aim to keep the Service available at all times but do not guarantee it will be uninterrupted or error-free. Planned maintenance is done at quiet hours where possible.

10.2 Support is available by email at info@coffeeanddeals.in, Monday to Saturday, 10 am to 7 pm IST.

11.1 The Service is provided "as is". We do not promise any particular business result, number of leads or sales.

11.2 To the extent the law allows, we are not liable for indirect or consequential losses, including loss of profit, business, deals or goodwill.

11.3 Our total liability for any claim relating to the Service is limited to the fees you paid us in the 12 months before the claim.

11.4 You will compensate us for losses caused by your breach of section 8, or by unlawful use of personal data you put into the Service.

12.1 You may cancel at any time; cancellation takes effect at the end of the current paid period.

12.2 We may suspend or end your account for non-payment (section 4.3) or a serious breach of this agreement, with notice where reasonable.

12.3 After cancellation or termination, your data is kept for 30 days, during which you may ask us for an export (leads, customers and listings as spreadsheets; files on request).

12.4 After 90 days from cancellation we may permanently delete Agency Data, except records the law requires us to keep, such as invoices.

13.1 We may update this agreement. We will tell the Agency admin in the CRM before a change takes effect, and the admin will be asked to accept the new version at their next sign-in. If you do not accept, you may cancel under section 12.

14.1 This agreement is governed by the laws of India. The courts at Gurugram, Haryana have exclusive jurisdiction.

14.2 Grievance Officer (Digital Personal Data Protection Act, 2023): Coffee & Deals, info@coffeeanddeals.in. We acknowledge complaints within 48 hours.

14.3 If any part of this agreement is found unenforceable, the rest continues to apply.

15.1 When you accept this agreement we record: the person and agency accepting, the version accepted, a fingerprint of the exact text, the date and time, the IP address and the device or browser used. This record is kept for the life of the account and 8 years after, and is available to you on request.
